A dimension on a released drawing is wrong by half a millimeter. The steel tool gets cut from that drawing, the first shots come out, nothing assembles, and the tooling shop quotes $28,000 and five weeks to weld and re-machine the cavity. Somebody pays for that. Which somebody depends entirely on two documents most founders never read closely: the engineering firm's insurance certificate and the liability section of the development contract.

Mistakes in a development project are normal and priced into how professional firms operate. The question is whether the firm you hired has the financial backing to absorb one, and whether your agreement lets you reach it.

The Three Policies, and What Each One Actually Covers

Professional Liability (Errors and Omissions)

This is the policy that matters most in a development relationship. It responds to claims arising from professional advice, design work, and engineering judgment that turned out to be wrong. A miscalculated load case, a specification that overlooked a thermal condition, a regulatory pathway recommendation that sent you down the wrong route: those are professional liability claims.

Two features surprise people. These policies are almost always written on a claims-made basis, meaning coverage applies when the claim is filed, not when the mistake was made; if the firm drops the policy and a defect surfaces eighteen months later, there may be nothing to claim against. And the policy pays for the consequences of an error, not for the firm redoing its own work, which is a contract remedy.

Commercial General Liability

General liability covers bodily injury and physical property damage: a prototype that catches fire during a demo, an engineer who damages equipment on a factory floor. Every credible firm carries it, usually at a $1,000,000 per-occurrence limit. It is the easiest certificate to obtain and the least relevant to design risk, so do not let it stand in for professional liability.

Product Liability

Here is the part founders consistently get wrong. Product liability follows the entity whose name is on the product and who places it into commerce. That is you, not your engineering firm. If a consumer is injured, the plaintiff's attorney names the brand owner, the manufacturer, and the retailer; the design consultant may be pulled in as a third party, but the front-line exposure sits with the company selling the thing.

So you need your own product liability policy before you ship a single unit, and many retailers will demand a certificate naming them as an additional insured before issuing a purchase order. Premiums scale with category and revenue: a low-risk consumer accessory at modest volume commonly starts in the low four figures annually, while anything that heats, cuts, or carries a lithium cell costs far more. Documented compliance with the relevant standards, the subject of product safety testing requirements, materially affects both premium and defensibility.

Typical Limits and What They Signal

For a small-to-midsize product development firm, professional liability limits of $1,000,000 per claim with a $1,000,000 to $2,000,000 aggregate are common. Larger firms handling regulated work carry $5,000,000 or more. Deductibles run from $5,000 to $50,000.

What the number tells you is less about safety than about seriousness. A firm carrying real professional liability has been underwritten: someone reviewed its contracts, quality process, and claims history and priced the risk. A shop with no professional liability at all is not necessarily bad at engineering, but your only recourse against a mistake is whatever cash that business happens to have. That belongs in the same evaluation bucket as checking references and reading the warning signs when hiring an engineering firm.

What to Put in the Development Contract

Insurance only helps if the agreement lets you get at it. Five clauses do the work, and all of them are negotiable, particularly before you sign. The broader picture is in product development contract terms worth negotiating.

  • An insurance clause with named minimums. Specify coverage types and limits, require a certificate before work starts, and ask for notice if the policy lapses.
  • A survival period. Require professional liability to be maintained two to three years after project completion. This closes the claims-made gap.
  • A limitation of liability you have actually read. Most firms cap total liability at fees paid. If you paid $180,000 for the engineering and the tooling error costs $300,000, that cap decides who eats the difference. Pushing it to a multiple of fees is a normal negotiation.
  • Mutual indemnity. The firm indemnifies you for claims arising from its negligence or from IP it brought in; you indemnify it for how you market and sell the finished product. One-directional indemnity is a bad sign.
  • Clean intellectual property assignment. Insurance disputes get ugly fast when ownership is ambiguous, so settle it up front along the lines described in who owns the IP when a company develops your product.

What Insurance Will Not Do For You

Professional liability policies exclude a predictable list: intentional misconduct, guarantees of performance, cost overruns as such, patent infringement in most standard forms, and pure economic loss from schedule slip. A firm that promises your product will pass certification is making a warranty, and a warranty is only as good as the balance sheet behind it.

Questions Worth Asking Before You Sign

  1. Do you carry professional liability, at what limits, and can I see a current certificate?
  2. Is the policy claims-made, and will you maintain it after this project closes?
  3. What is your liability cap in the standard agreement, and what is excluded from it?
  4. Have you had a claim, and what happened?
  5. Who carries product liability once this design ships, and what documentation will you hand me to support my own policy?

Answers that arrive quickly and in writing tell you the firm has been through this before. Vague answers tell you something too. The same discipline you apply when you compare quotes from different engineering firms belongs here, because a lower quote from an uninsured shop is not the same product.
