The Agreement Everyone Signs Too Late
Most importers reach their first real manufacturing agreement after something has already gone wrong. The first four orders ran on a purchase order and a chat thread. Then a price rises 18 percent, or the factory refuses to release the mold, or a batch arrives with a substituted resin, and the paperwork turns out to be an invoice with no terms on the back.
A manufacturing agreement is not a formality and it is not the same document as an NDA. It is the only place where tooling ownership, quality standards, pricing mechanics, liability, and exit rights become enforceable. It is worth negotiating before the first tool is cut, when your leverage is highest, because after the tool exists the factory holds the asset.
The Most Important Clause: Who Owns the Tooling
If you take one thing from this article, make it this. Paying for a mold does not automatically mean owning it, and in practice a tool sitting on a factory floor 7,000 miles away is controlled by whoever it sits with.
The agreement needs, in writing: that title to all tooling, fixtures, jigs, and test equipment paid for by you passes to you on payment; that each tool carries a permanent asset tag with your identifier and a serial number; that the factory holds the tooling as bailee and will not use it to produce for any other party; that you may inspect or remove the tooling on 30 days written notice with all charges settled; and that the tool is released without an additional fee at the end of the relationship. Include the maintenance obligation too: cleaning interval, shot count logging, wear insert replacement at the factory's cost, and notification before any repair.
Intellectual Property
An American-style NDA is close to useless against a Chinese supplier because it is drafted for enforcement in a court that will never hear the case. The working instrument is an NNN agreement, covering non-disclosure, non-use, and non-circumvention, written in Chinese, governed by Chinese law, naming a Chinese court with jurisdiction over the supplier, and carrying a liquidated damages figure large enough to matter but small enough for a judge to enforce. Beyond the NNN, the manufacturing agreement itself should state that all designs, drawings, firmware, and improvements remain yours; that the factory may not register your trademark or design rights in any jurisdiction; that it may not sell your product, seconds, or overruns to anyone; and that subcontracting requires your written consent, since your design leaks through the tier-two supplier far more often than through the factory you audited.
Quality and Warranty
"Good quality" is not a term. What you need is a chain of objective references the factory has agreed to in advance.
- An approved specification and drawing set, referenced by revision number in the agreement itself, so a later drawing change is a documented amendment rather than an argument.
- A signed golden sample held by both parties, which settles color, texture, and finish disputes that no drawing describes well. How to establish it is covered in the golden sample as an agreed quality standard.
- A named inspection standard with numbers, typically an AQL level with defined limits for critical, major, and minor defects, and the right for you or your agent to inspect before shipment. The mechanics are in AQL inspection explained.
- A defect remedy that is not a credit note. Specify rework at the factory's cost, replacement units air-freighted at the factory's cost, or a refund, at your election. A credit against future orders is the factory's preferred remedy because it locks you in.
- A warranty period and a field failure clause, covering who pays for returns, replacements, and shipping when defects surface after the customer has the product.
- No material or component substitution without written approval, with a stated consequence. This single sentence prevents the most common quality failure in offshore production.
Commercial and Operational Terms
Price needs a mechanism, not just a number. Fix unit price for a defined period, usually 6 or 12 months, and define what may trigger a change: a named raw material index moving more than a set percentage, or a currency shift beyond a band. Require 60 days written notice of any increase, with your right to cancel open orders if you do not accept it.
Payment terms carry the real risk. A 30 percent deposit against 70 percent on shipping documents is standard, and the balance should be tied to a passed inspection rather than to the container leaving the yard. Also lock down: lead time in calendar days from deposit received, with a late delivery penalty of perhaps 0.5 percent per week capped at 5 percent; the Incoterm, which determines exactly where cost and risk transfer, as compared in FOB vs EXW vs CIF; minimum and maximum order quantities; packaging and labeling specifications, including carton markings and barcode placement; and a forecast mechanism if you want capacity reserved.
Ending the Relationship
Every agreement ends. Write down how.
Include a termination-for-convenience right with 60 to 90 days notice, a termination-for-cause right on defined breaches such as substitution or a failed audit, and a transition obligation: the factory must complete open orders, release tooling within a fixed number of days, deliver remaining inventory and your consigned components, and hand over the process documentation. Without the last item, moving production means recreating the process from scratch, and the factory knows it.
Dispute resolution should name a specific forum. Arbitration in Hong Kong or Singapore under a named institution is a common compromise; a US court with no enforcement path in China is decoration.
Who You Are Actually Signing With
Verify the counterparty. Get the Chinese-language company name and unified social credit code from the business license, confirm the entity actually operates the factory rather than being a related trading arm, and require the company chop, since a signature alone may not bind the company.
